Commercial Counsel

 

Coda is recruiting for a commercial counsel with deep experience negotiating enterprise SaaS contracts for a variety of companies. We seek a team member with the experience and judgment to work both independently and as part of a team with a number of start-up SaaS clients to (1) revise and update sales and other go-to-market templates; and (2) negotiate deals. Prior work in-house at one or more well-established SaaS companies, and hundreds of negotiations with large enterprise customers, is ideal. Knowledge of common data privacy and AI issues is required.

 

Responsibilities: 

  • Negotiate and draft master subscription agreements, professional services agreements and other types of technology agreements with customers in support of sales,  professional services, procurement and product organizations 

  • Partner with revenue recognition, sales operations, technology operations, and other client stakeholder teams to ensure agreements are consistent with clients' internal corporate policies and processes 

  • Partner with sales and other internal business constituents throughout the customer lifecycle to ensure customer success and protection of our clients

 

Required Skills/Experience: 

  • Undergraduate and law degrees, and active and in good standing with state bar 

  • 5+ years combined experience in law firm and/or in-house legal department including experience negotiating and drafting technology license/Internet service agreements and professional services agreements

  • Working knowledge of current legal issues in data privacy and AI 

  • Excellent written/verbal communication and negotiation skills with impeccable judgment 

  • Highly responsive and service-oriented attitude 

  • Ability to organize, prioritize and manage deadlines in a fast-based and demanding work environment 

  • Ability to maintain strong working relationships with demanding internal clients

  • Confident and autonomous self-starter, while being a team player

  • Familiarity with, or willingness to learn, technical concepts in Web applications and new areas of law

  • Substantial experience in supporting sales departments
